PART B — WEBSITE TERMS & CONDITIONS

19. Acceptance of These Terms

These Terms apply to purchases made through spanofootwear.com and products and services supplied by Spano Footwear.

By using our website or placing an order, you agree to these Terms.

Nothing in these Terms excludes, restricts or modifies rights available under the Australian Consumer Law.

20. Our Products

Spano Footwear supplies:

- specialised footwear; and

Some products are individually selected, fitted, measured, modified or manufactured.

21. Orders

An order constitutes an offer to purchase the selected product.

We may decline or cancel an order where reasonably necessary, including where:

- a product is unavailable;
- there is an obvious pricing error;

- fraud is suspected; or
- we cannot reasonably fulfil the order.

Where payment has already been received and we cancel an order, an appropriate refund will be provided subject to applicable law.

PART C — CUSTOM-MADE FOOTWEAR AND ORTHOTICS

22. Custom Products

Custom-made footwear and orthotics are manufactured or modified specifically for an individual customer.

The process may involve:

- measurements;
- assessments;
- fittings;
- materials;
- components;
- modifications;
- orthotic specifications;
- individual sizing; and
- specialised manufacturing.

Additional conditions therefore apply.

23. Custom-Made Quotes

Before commencing work, Spano Footwear will provide a quote or agreed price where reasonably practicable.

The quoted price is based on the specifications, measurements, materials and requirements known at the time.

Where specifications do not change

If the customer does not request changes to the agreed specifications after the quote has been accepted and manufacturing commences, Spano Footwear will honour the original quoted price, subject to circumstances outside the original scope of the quote or matters not reasonably foreseeable when the quote was prepared.

We will not add charges simply because ordinary manufacturing work takes place over the agreed timeframe.

24. 50% Custom-Made Deposit

A 50% deposit of the total quoted or invoiced price is required before Spano Footwear commences custom-made footwear, custom orthotics or other individually manufactured custom products.

The deposit:

- confirms acceptance of the quoted specifications;
- allows manufacturing to commence;
- allows materials and components to be allocated; and
- forms part-payment of the total price.

The remaining 50% balance is payable once the product has been completed and is ready for collection or delivery, unless otherwise agreed in writing.

Spano Footwear may not commence custom manufacturing until the required deposit has been received.

25. Changes After Approval

Once custom specifications have been approved and manufacturing has commenced, customer-requested changes may result in additional costs.

Changes may include:

- style;
- colour;
- material;
- measurements;
- modifications;
- orthotic specifications;
- footwear selection;
- size;
- additional features; or
- other agreed requirements.

Where reasonably practicable, Spano Footwear will advise the customer of any additional cost before proceeding with the requested change.

26. Remake and Modification Fees

If a customer changes their requirements after manufacturing has commenced and the change requires Spano Footwear to remake, substantially modify or reproduce a custom product, an additional remake or modification fee may apply.

The fee may take into account:

- materials already used;
- replacement materials;
- labour;
- manufacturing time;
- specialist components;
- completed modifications;
- external manufacturing costs; and
- other reasonable costs arising from the requested change.

27. Changes During Manufacturing

Customer-requested changes made during the manufacturing timeframe may affect the original estimated completion date.

Where a requested change requires a remake or substantial alteration, the original timeframe may no longer apply.

Spano Footwear will advise the customer of reasonably foreseeable delays resulting from customer-requested changes.

28. No Additional Fee for Spano's Error

The remake and modification fees described above do not apply where a remake, replacement or correction is required because of an error made by Spano Footwear or because the product fails to meet an applicable consumer guarantee.

Examples include:

- incorrect manufacture against the agreed specifications;
- supplying the wrong product;
- incorrect measurements caused by Spano Footwear;
- an agreed modification being completed incorrectly; or
- a product having a relevant fault.

In such circumstances, Spano Footwear will assess the issue and provide the remedy required by law.

29. Customer Measurements and Information

Customers are responsible for providing accurate information where information or measurements are supplied by the customer.

Where Spano Footwear performs measurements or assessments, we will take reasonable care.

If inaccurate information supplied by the customer results in a remake or substantial modification, reasonable additional costs may apply, subject to applicable law.

30. Custom Product Cancellation

Because custom products are specifically manufactured or modified for an individual, a change of mind does not automatically entitle the customer to cancel or receive a refund.

However, nothing in these Terms excludes any rights or remedies available under the Australian Consumer Law.

PART D — STANDARD FOOTWEAR RETURNS

31. 14-Day Change-of-Mind Policy

Spano Footwear may accept eligible change-of-mind returns within 14 days of purchase or delivery.

A change-of-mind return means the product is not faulty and the customer has simply decided they no longer want it, would prefer another product, or wishes to change size or style.

Where a change-of-mind return is accepted:

- footwear should generally be unworn;
- the product must be in saleable condition;
- original packaging should be returned where reasonably possible;
- the product must not have been damaged or altered; and
- an $85 restocking fee may apply.

The $85 restocking fee does not apply to a valid Australian Consumer Law remedy for faulty or defective goods.

Because of the specialised nature of some of our products, change-of-mind requests may be assessed on a case-by-case basis.

32. Incorrect Size Selected by Customer

Customers should carefully check measurements and sizing information before purchasing.

Where the customer selects the wrong size and the product supplied matches the order, the matter will generally be treated as a change-of-mind matter.

If the footwear has been worn, Spano Footwear may be unable to accept a change-of-mind return.

This does not affect rights available where the product is faulty or fails an applicable consumer guarantee.

33. Wrong Product or Wrong Size Supplied by Spano

If a customer orders a size 9 and Spano Footwear sends a size 11 due to our error, Spano Footwear will rectify the error.

This is different from a customer selecting the wrong size.

34. Faulty Products

If a product is faulty, defective, damaged or does not comply with an applicable consumer guarantee, please contact Spano Footwear.

We may request:

- proof of purchase;
- photographs;
- details of the issue;
- information about use; or
- the product for assessment.

If the product has a failure covered by the Australian Consumer Law, Spano Footwear will provide the remedy required by law.

Depending on the circumstances, this may include repair, replacement, refund or another applicable remedy.

PART E — MEDICAL AND SPECIALISED PRODUCTS

35. Medical and Orthopaedic Products

Some products supplied by Spano Footwear are intended for customers with specific foot, mobility, orthopaedic or other requirements.

Products may require:

- individual assessment;
- measurements;
- fitting;
- modification; or
- professional advice.

Customers should follow any instructions supplied with products and, where appropriate, advice from their treating health professional.

Website information is general information and does not replace individual medical advice.

36. Fitness for a Particular Purpose

Where a customer communicates a particular purpose or requirement and relies on Spano Footwear's advice in selecting a product, that information will be considered in accordance with our obligations under the Australian Consumer Law.

Nothing in these Terms excludes or limits applicable consumer guarantees.

PART F — PAYMENT AND DELIVERY

37. Prices

All prices are displayed in Australian dollars unless otherwise stated.

Prices may change from time to time.

A confirmed order will generally be supplied at the price accepted at the time of purchase, subject to obvious pricing errors or other circumstances permitted by law.

38. Payment

Online payments are processed through Shopify and applicable payment providers.

For custom-made products, the 50% deposit requirement applies as described in these Terms.

The remaining balance is payable when the custom product is completed and ready for collection or delivery unless otherwise agreed.

39. Delivery

We will use reasonable efforts to dispatch orders within the timeframe communicated at purchase.

Delivery times may vary because of:

- product availability;
- custom manufacturing;
- supplier delays;
- courier delays;
- public holidays;
- weather;
- supply chain disruption; or
- circumstances outside our reasonable control.

Custom-made products may require additional production time.

Delivery estimates are not necessarily guaranteed delivery dates.

40. Inspection of Products

Customers should inspect products as soon as reasonably practicable after receiving them.

If a product appears incorrect, damaged or materially different from what was ordered, please contact us.

Nothing in this section limits any consumer guarantee or statutory right.

PART G — PRODUCT USE AND LIABILITY

41. Product Care and Use

Customers should use products in accordance with supplied instructions and their intended purpose.

Spano Footwear is not responsible, to the extent permitted by law, for damage caused by:

- misuse;
- abnormal use;
- accidental damage;
- unauthorised alteration;
- failure to follow care instructions; or
- use for a purpose for which the product was not supplied.

This does not limit any rights available under the Australian Consumer Law.

We endeavour to ensure that product descriptions, images, measurements and prices are accurate.

Minor differences may occur due to:

- photography;
- screen settings;
- manufacturing variations; or

To the maximum extent permitted by law, Spano Footwear excludes liability for loss or damage arising from matters outside our reasonable control.

PART H — AUSTRALIAN CONSUMER LAW

45. Australian Consumer Law Rights

Spano Footwear complies with the Australian Consumer Law.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.

You may be entitled to a replacement or refund for a major failure and compensation for reasonably foreseeable loss or damage.

You may also be entitled to have goods repaired or replaced where they fail to meet an applicable consumer guarantee and the failure does not amount to a major failure.

For services, where there is a major failure, you may have rights to cancel the service and receive a refund for the unused portion or compensation for its reduced value.

Nothing in these Terms removes or limits those rights.
